Constitution

Preamble

We, the founding members of the Georgetown University Anime Club do hereby establish this constitution on November 5, 2003, in order that our purpose be realized to its fullest extent.

Article I. Name

The name of the organization will be The Georgetown University Anime Club, henceforth referred to as “The Georgetown University Anime Club” (GUAC).

Article II. Purpose

  1. The Georgetown University Anime Club is established for the purpose of sharing the common interest of Japanese animation and graphic novels with the Georgetown academic community in a forum in which members can freely exchange ideas and experiences.
  2. The Georgetown University Anime Club understands and is committed to fulfilling its responsibilities by abiding by Georgetown University’s policies.

Article III. Membership

  1. We will distinguish between active and voting membership:
    1. Active membership shall be open to all persons officially connected with the University as students, part-time students, faculty, staff, and alumni.
    2. Voting membership shall be limited to persons officially connected with the University as enrolled full-time undergraduate students.
  2. The Georgetown University Anime Club openly admits undergraduate students to its membership and does not discriminate on the basis of race, color, disability, gender, ethnicity, national origin, religion, or sexual orientation.

Article IV. Officers

Officers of the Georgetown University Anime Club must be full-time undergraduate students enrolled at Georgetown University. The Georgetown University Anime Club will be governed by an Executive Board comprised of the following positions:

  1. An elected President will preside at all general and executive meetings of the Georgetown University Anime Club and is responsible for creating meeting agendas and yearly priorities. The president will also keep and enforce the constitution, appoint committee chairpersons, and coordinate the activities of committees.
  2. A Vice-President will preside at all meetings and functions that the President cannot attend. The Vice-President will be responsible for non-budget-related communication between the Georgetown University Anime Club and the Office of Student Programs (OSP).
  3. A treasurer will be responsible for all financial aspects of the association and will handle all dues, accounts, and expenditures. The treasurer will communicate with SAC and OSP on the club’s budget and will keep the executive board apprised of the club’s financial status.
  4. A secretary will keep all records of the association, including the records of members, meeting minutes, and club archives. The secretary will also send out information to all members about upcoming events and will moderate the club message board.
  5. The Executive Board reserves the right to create new positions as needed, into which officers will be elected as stated in article V.

Article V. Operations

  1. Voting Eligibility: Those members who meet all requirements of voting membership and who attend the general meeting during which the election takes place will be eligible to vote.
  2. Election Process: Elections for the officers of the Executive Board will be held each April after Spring Break. All voting members of the Georgetown University Anime Club are eligible to run for office. A quorum of one-half (1/2) plus one of the general body must be present to constitute a valid election. The President will take nominations from the floor, and candidates for office will deliver a short speech expressing their intent and goals, which will be followed by a brief question and answer session. A motion to elect must be issued to commence voting procedures. All voting shall be done by secret ballot to be collected and tabulated by the Executive Board, unless an officer is a candidate, in which case the officer will not participate in the tabulation. Candidates receiving a simple majority of votes cast shall be considered elected. Newly elected officers will assume office after the last day of classes of the current academic year, except in the case of mid-term elections. Officers elected mid-term will assume office immediately after their election.
  3. Removal: Any officer of the Georgetown University Anime Club in violation of the Club’s purpose or constitution or who fails to fulfill duties as stated in Article IV may be removed from office by the following process:


    1. A written request signed by at least five members of the organization submitted to the Executive Board.
    2. Written notification of the request to the officer, asking him or her to appear at the next general meeting and be prepared to speak in his or her defense.
    3. Written notification to the membership at least one week before the upcoming meeting.
    4. Three-fourths (3/4) of the voting members must be in attendance at the meeting to vote on the removal of an officer. A two-thirds (2/3) majority vote is necessary to remove the officer.
  4. Resignation: If an officer wishes to resign, he or she must give the Executive Board at least two weeks prior notice and maintain his or her position until a new officer is elected. If there is unanimous consent among the remaining members of the Executive Board, immediate resignation may be accepted.
  5. Replacement: Should an officer resign or be removed, a special election will be held one week after written notification to all members. Mid-term elections shall be conducted as specified in Article IV, Section 2.
  6. Meetings: A general meeting will be held at least once a month and will include reports by the President and committees as appropriate.

Article VI. Finances

The Georgetown University Anime Club will finance its activities by the following means:

  1. The Georgetown University Anime Club will collect membership dues on an annual basis. The Executive Board, while in communication with the general membership, will decide on the appropriate rate at the beginning of each academic year.
  2. The Georgetown University Anime Club will submit a budget to the SAC on an annual basis and request funding appropriate for the effective operation of the Organization for each academic year.


  3. The Georgetown University Anime Club will conduct all financial activities in accordance with University policy and place all funds in its university account. As stated in Article II, Section III, the Treasurer is responsible for keeping the Organization’s accounts in order.

Article VII. Amendments

This constitution is binding to all members of the Georgetown University Anime Club, but the constitution is not binding unto itself.

  1. Amendments to the constitution may be proposed in writing to the Executive Board by any voting member. All amendment proposals will be placed on the agenda for the next general meeting. The secretary will notify all members one week prior to the meeting.
  2. Proposed amendments will become effective following approval of two-thirds (2/3) majority of voting members present. Amendments, if ratified, will take effect immediately.
